The Aalto Services Agreement is divided into General Terms, which apply to every business user, and product-specific Services Terms, which apply only based on the specific services you use. It is structured to support Aalto’s multi-product energy platform (charging, fleets, and energy programs) and to enable you to seamlessly add services and devices over time.

Overview
What documents form the Aalto Services Agreement and how are they structured?
1. General Terms
The core General Terms act as the umbrella legal framework and always apply to all Aalto services. Regional Terms, embedded within the General Terms, apply based on your Aalto Account Country and contain country-specific provisions. This means that the core legal framework is consistent and country-specific laws and regulatory provisions are correctly applied.
2. Services Terms
The Services Terms are additional, product-specific terms that apply when you use certain Aalto services, such as Centro (connecting and controlling energy devices, selling charging, and participating in VPP programs), Aalto Charge (making charging stations available to drivers through the Aalto app), Aalto Fleets, Aalto Vision, and Aalto Roam.
The Aalto Financial Services Terms only apply if you use Aalto services that move money, such as selling charging and receiving payouts. They supplement the General Terms and the applicable Services Terms with provisions specific to these financial services, including requirements imposed by financial partners and governmental authorities.
3. Other Incorporated Terms
Key documents incorporated into the Aalto Services Agreement include:
- Data Processing Agreement (DPA): Governs how Aalto and you process Personal Data and includes the Data Transfers Addendum and the Data Security Exhibit.
- Aalto Pricing Page: Details the standard fees for Aalto services.
- Other Policies: Essential operational policies such as the Acceptable Use Policy, the e-Signature Disclosure, and the User Bank Account Debit Authorizations.
Which terms control if there is a conflict?
If documents conflict, there is a clear order of precedence. Unless a lower-precedence term explicitly says otherwise, the terms apply in this order:
- Services Terms (including the Aalto Financial Services Terms, when they apply).
- General Terms.
- Other Incorporated Terms.
This order is set out in Section 11.9 (Order of Precedence) of the General Terms.
How do I agree to the Aalto Services Agreement?
The Aalto Services Agreement becomes effective when you first access or use any Aalto services. We may update the Aalto Services Agreement by posting a revised version on the Aalto Legal Page or by notifying you, and we will provide advance notice of changes that materially and adversely affect your use of the services or your legal rights (except changes required for legal, regulatory, financial-partner, or security reasons). If you continue to use our services after a change takes effect, that use will constitute acceptance of the updated terms. See Section 11.8 (Modification) of the General Terms.

You contract with Aalto Energy, Inc.. Aalto currently contracts through a single entity for all services.

What documents make up my Aalto Services Agreement?
The Aalto Services Agreement is modular. It consists of three core, layered components: the universal General Terms, product-specific Services Terms, and Other Incorporated Terms (the Data Processing Agreement, the Acceptable Use Policy, the Aalto Pricing Page, and similar documents).
If terms conflict, which one wins?
In the event of any conflict, the documents are resolved using a clear order of precedence where specialized terms take precedence over general terms. The order of precedence is:
- Services Terms (including the Aalto Financial Services Terms, when they apply).
- General Terms.

Entities and Regions
Which Aalto entity am I contracting with?
You contract with Aalto Energy, Inc., as stated in the General Terms.
What is my Aalto Account Country?
The Aalto Account Country is the country associated with your Aalto Account, set when the account is created. For example, if a corporate entity established in the US opens an Aalto Account, the default Aalto Account Country is the US. This factor dictates which country-specific provisions apply to you. The Regional Terms located in Section 13 of the General Terms contain more information.
Can my affiliates use Aalto under my account?
No. Each legal entity that wishes to use Aalto services must set up its own separate Aalto Account and agree to the Aalto Services Agreement. This ensures every legal entity is properly covered by the relevant agreements and compliance requirements.
Where are the Regional Terms, and what do they cover?
Regional Terms are embedded within the General Terms. They contain country-specific provisions based on your Aalto Account Country. Aalto services are currently offered in the United States; Regional Terms for additional countries will be added as Aalto expands.

How do I agree to the terms of the Aalto Services Agreement?
The Aalto Services Agreement becomes effective when you first access or use Aalto services.
Can Aalto change the terms of the Aalto Services Agreement?
Yes. We may update the Aalto Services Agreement by posting a revised version on the Aalto Legal Page or by notifying you. If a change will materially and adversely affect your use of the services or your legal rights, we will provide notice before the change takes effect, except for changes addressing legal, regulatory, or financial-partner requirements or emergent security risks, which may take effect immediately. If you continue to use our services after a change takes effect, that use will constitute acceptance of the updated terms. See Section 11.8 (Modification) of the General Terms.
Products and Services
Where can I find the Services Terms, and what do they cover?
The Services Terms are product-specific and are available on the Services Terms page. They cover Centro, Aalto Charge, Aalto Fleets, Aalto Vision, and Aalto Roam. The Services Terms that apply to you are incorporated into your Agreement when you use the corresponding services.
Where can I find the Aalto Financial Services Terms, and what do they cover?
The Aalto Financial Services Terms are part of the Services Terms and only apply if you use Aalto services that move money, such as selling charging to drivers and receiving payouts. These terms ensure compliance with the requirements imposed by financial partners and governmental authorities.
I operate charging stations. What governs the drivers who charge with me?
Drivers who find, start, and pay for charging through the Aalto app are covered by the separate Consumer Terms of Service, which is an agreement between the driver and Aalto. Your own relationship with Aalto as a station operator is governed by the Aalto Services Agreement, including the applicable Services Terms. You remain responsible for your stations and for any terms you maintain directly with your customers.
If I use additional Aalto services over time, is that use covered by the Aalto Services Agreement?
Yes. The Aalto Services Agreement is structured to enable you to seamlessly add services and devices over time. Your use of additional Aalto services will be governed by the General Terms and any relevant Services Terms (including Services Terms that may be added as new services are launched).
Data and Policies
Where can I find information on data privacy and service restrictions?
Data privacy is primarily governed by the Data Processing Agreement, which is incorporated into the Aalto Services Agreement and includes the Data Transfers Addendum and the Data Security Exhibit. The Privacy Policy and Privacy Center describe how Aalto handles personal data. Service restrictions are found in Section 1.2 of the General Terms and in the Acceptable Use Policy.
